CONDITIONS PRECEDENT TO CONTRIBUTOR'S OBLIGATION TO CLOSE ESCROW. The obligation of Contributor to consummate the transactions contemplated hereby is subject to the following conditions, inserted for Contributor's sole benefit and that may be waived by Contributor only in writing at its sole option. A failure of a condition precedent shall not constitute a default by the Partnership or any of its partners, other than an intentional default under either clause (a) or clause (d) below.
