Conditions Precedent to District’s Obligations. The District’s obligation to accept the conveyance of the City Property is subject to the timely satisfaction of the Conditions Precedent set forth in this section 2(f)(i) for the District’s benefit (or the District’s waiver thereof, it being agreed that the District may waive any or all of such conditions) on or prior to the dates designated below for the satisfaction of such conditions. If the District timely terminates this Agreement and the Escrow in writing due to the failure of any of such conditions which are not the result of the District’s default under this Agreement, then the District shall be relieved of all further obligations and liabilities under this Agreement. If the District fails to timely terminate this Agreement and the Escrow in writing due to the failure of any of such conditions, then the District shall be conclusively deemed to be satisfied with all aspects of the City Property.
