Common use of Conditions Precedent to Effectiveness and the Initial Investment Clause in Contracts

Conditions Precedent to Effectiveness and the Initial Investment. This Agreement shall become effective as of the Closing Date when (a) the Administrative Agent shall have received each of the documents, agreements (in fully executed form), opinions of counsel, lien search results, UCC filings, certificates and other deliverables listed on the closing memorandum attached as Exhibit I hereto, in each case, in form and substance acceptable to the Administrative Agent and (b) all fees and expenses payable by the Seller on the Closing Date to the Purchaser Parties have been paid in full in accordance with the terms of the Transaction Documents.

This Agreement shall become effective as of the Closing Restatement Date when (a) the Administrative Agent shall have received each of the documents, agreements (in fully executed form), opinions of counsel, lien search results, UCC filings, certificates and other deliverables listed on the closing memorandum attached as Exhibit I hereto, in each case, in form and substance acceptable delivered to the Sellers by the Administrative Agent and (b) all fees and expenses payable by the Seller on the Closing Date prior to the Purchaser Parties have been paid in full in accordance with the terms of the Transaction DocumentsRestatement Date.

This Agreement shall become effective as of the initial Closing Date when (a) the Administrative Agent shall have received each of the documents, agreements (in fully executed form), opinions of counsel, lien search results, UCC filings, certificates and other deliverables listed on the closing memorandum checklist attached as Exhibit I heretoVIII hereto (other than those that are expressly designated as post-closing deliverables), in each case, in form and substance acceptable to the Administrative Agent and (b) all fees and expenses payable by the Seller on the initial Closing Date to the Purchaser Parties have been paid in full in accordance with the terms of the Transaction Documents.

This Agreement shall become effective as of the Closing Date when (a) the Administrative Agent Purchaser shall have received each of the documents, agreements (in fully executed form), opinions of counsel, lien search results, UCC filings, certificates and other deliverables listed on the closing memorandum Closing Documents Checklist attached as Exhibit I G hereto, in each case, in form and substance acceptable to the Administrative Agent Purchaser and (b) all fees and expenses payable by the Seller on the Closing Date to the Purchaser Parties have been paid in full in accordance with the terms of the Transaction Documents.
