Conditions Precedent to Effectiveness of Balance of Agreement. The balance of the provisions of this Agreement, including the full amendment and restatement of the Existing L/C Agreement, the actual continuation of the Existing Letters of Credit as Letters of Credit under this Agreement, the liability of the Guarantor, the obligations of the Lenders to issue new Letters of Credit under this Agreement and the release of the Existing Guarantor, are subject to the prior or concurrent satisfaction of the following conditions precedent:
