Conditions Precedent to Fifth Restatement Effective Date. The effectiveness of this Agreement and the obligation of each Lender to make the extensions of credit provided for hereunder is subject to the fulfillment, to the satisfaction of Agent and each Lender, of each of the conditions precedent set forth on Schedule 3.1 to this Agreement. The contemporaneous exchange and release of executed signature pages by all Persons which are party hereto shall render this Agreement effective and any such exchange and release of such executed signature pages shall constitute satisfaction or waiver (as applicable) of such conditions precedent.
