Conditions Precedent to Initial Canadian Advance. The obligation of the Canadian Lenders to make the initial Canadian Advance or of the Canadian Issuing Bank to issue a Canadian Letter of Credit is subject to the prior fulfillment of each of the conditions set forth in Section 3.1 and each of the following conditions (provided that each condition precedent set forth in this Article III that can only be satisfied upon the making of the initial Advances hereunder shall be deemed to be satisfied immediately prior to such funding, provided that all other actions or events required to have been taken or to have occurred in order for such condition to be satisfied shall have been taken or have occurred at or prior to such time and that all other actions and events required not to have occurred in order for such condition to be satisfied shall not have occurred at or prior to such time):
