Conditions precedent to New Closing Date. On or prior to the New Closing Date, the Administrative Agent, or its duly authorized representative, shall have received all of the documents and other evidence listed in Part 1 of Schedule 3 (Conditions precedent) in form and substance reasonably satisfactory to the Administrative Agent.
