Conditions Precedent to Payment of Purchase Price by Buyer. The obligation of Buyer to pay any portion of the Purchase Price hereunder (including its obligation to make any cash payment under Section 3.2(a) or any payment under the Promissory Note delivered under Section 3.2(b)) shall be subject to the delivery by Seller, on or prior to the date any such payment is due, of the following in form and substance reasonably satisfactory to Buyer as shall be effective to vest in Buyer all of Seller s rights in and under the Purchased Assets as provided for in this Agreement:
