Conditions Precedent to the Obligation of the Investor to Close. The obligation of the Investor to complete each Closing is subject, at its option, to the fulfillment on or prior to the related Closing Date (unless otherwise provided) of the following conditions, any one (1) or more of which may be waived by it in its sole discretion:
