The conditions are for the Purchaser's sole benefit and may be waived by the Purchaser at any time in its sole discretion.

If Purchaser waives one or more conditions precedent to issuance of any Draw Down Notice, then the Purchaser shall be precluded from asserting the same facts as a basis for the failure of the Company to satisfy a condition precedent to the settlement of such Draw Down or a subsequent Draw Down Notice.
