CONDITIONS PRECEDENT TO THE OBLIGATION OF THE SUBSCRIBER TO ACQUIRE THE DEBENTURES AND WARRANTS. The obligation of Subscriber hereunder to acquire and pay for the Debentures and Warrants at each of the First Closing and the Second Closing, as applicable, is subject to the satisfaction, at or before the Closing Date in respect of such Closing, of each of the following conditions. Each of these conditions is for Subscriber's sole benefit and may be waived by Subscriber at any time in its sole discretion.
