Conditions Precedent Trigger. No Conditions Precedent Trigger shall have occurred or be continuing until Seller has cured such Conditions Precedent Trigger pursuant to the definition thereof. [AMENDMENT NO. 3] Each Transaction Request delivered by Seller hereunder shall constitute a certification by Seller that all the conditions set forth in this Section 3(b) (other than clauses (xi) and (xii) hereof) have been satisfied (both as of the date of such notice or request and as of Purchase Date).
