Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 and 9.3 have been fulfilled.
Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed by Seller's president or vice president or its chief financial officer, certifying, in such detail as Buyer and its counsel may reasonably request, that all representations and warranties of Seller made in Article 6 are true and correct as of the Closing Date and that the conditions specified in Sections 9.1 and 9.3 have been fulfilled.
Certification by Seller. The Investor shall have received a certificate, addressed to the Investor and dated as of the applicable Closing Date, signed by the President of Seller, certifying, in such detail as the Investor and its counsel reasonably may request, that all of the conditions specified in Section 8 have been fulfilled.
Certification by Seller. Seller shall have furnished Purchaser with a certificate, dated the Closing Date, signed by Seller certifying, in such detail as Purchaser and its counsel may reasonably request, that the conditions specified in Sections 10.6 and 10.7 hereof have been fulfilled. Certification is set forth in Exhibit 10.9 attached hereto.
Certification by Seller. Each Transaction Request delivered by Seller hereunder shall constitute a certification by Seller that all the conditions set forth in this Section 3(b) (other than clause (x) hereof) have been satisfied (both as of the date of such notice or request and as of Purchase Date).
Certification by Seller. MSAM shall have received a certificate, addressed to MSAM and each Buyer and dated as of the applicable Closing Date, signed by the President of Seller, certifying, in such detail as MSAM and its counsel reasonably may request, that all of the conditions specified in Section 8 have been fulfilled.
Certification by Seller. Buyer shall have received a certificate, dated as of the Closing Date, signed by the Managers of Seller, certifying that (I) all representations and warranties made by Seller in this Agreement and in any other agreements, exhibits, schedules or other written statements delivered by Seller in connection with this Agreement are true and correct as of the Closing Date; AND
Certification by Seller. Purchaser shall have received the certificates of the appropriate manager(s) and/or authorized officer(s) of the Seller as set forth above in Sections 5.1(b).
Certification by Seller. Seller shall provide to Buyer, within thirty (30) Days following request by Buyer, which request shall not be made more often than once in any six-Month period, an officer's certificate confirming that the number of buyers of Maya referred to in Article 10.2 has been three or more in each six-Month period ending within the preceding Year and that the average volume of sales of Maya referred to in Article 10.2 has been greater than or equal to 200,000 BPD in each six-Month period ending within such preceding Year.
Certification by Seller. Purchaser shall have received a certificate, dated the Closing Date, executed by Seller's president and Holding's president certifying, in such detail as Purchaser and its counsel may reasonably request, that the conditions specified in paragraph 8.1 and 8.2 have been fulfilled.
