Conditions to City Bodies’ Obligations. The obligations of City Bodies with respect to the Closing are subject to the satisfaction or waiver in writing, of the following prior to the applicable period specified in this Section:
Conditions to City Bodies’ Obligations. Notwithstanding anything to the contrary set forth herein, the obligations of City Bodies with respect to proceeding to the Closing (unless a specific Closing is stated) with respect to each of the Projects, are subject to the satisfaction or waiver in writing, of the following prior to the applicable period specified in this Section: Required Permits. Prior to expiration of the Diligence Period, Developer shall have obtained, or City Bodies or Developer have determined that Developer shall be able to obtain, all Required Permits then available for the current stage of construction.
Conditions to City Bodies’ Obligations. The obligations of City Bodies with respect to the Closing are subject to the satisfaction or waiver in writing, of the following prior to the applicable period specified in this Section: Required Permits. As of the Closing Date, City Bodies shall: (i) have determined that Developer shall have: (A) obtained; or (B) determined that Developer shall be able to obtain; all Required Permits; and (ii) the Survey and Commitment with respect to the Garage Parcel are acceptable to the City; and (iii) there are no exceptions or matters of record reflected in the Commitment or Survey which would have a materially adverse effect on the Project or the City Bodies’ ability to perform hereunder or under any Ancillary Agreements.
