Conditions to Obligations of Purchaser and Acquisition Sub. Each and every obligation of Purchaser and Acquisition Sub to be performed on the Closing Date shall be subject to the satisfaction on or before the Closing Date of the following conditions (unless waived in writing by Purchaser or Acquisition Sub), and the Company and the Company Shareholders shall exercise all reasonable efforts in good faith to satisfy such conditions:
