Conditions to Obligations of the Newhall Companies. The obligation of each of the Newhall Companies to effect the transactions contemplated by this Agreement to occur on the Closing Date are further subject to satisfaction of the following conditions (any of which may be waived in whole or in part by the Company as provided in Section 11.16 and, to the extent permitted by Section 9.12(c), by the Investors Committee on behalf of all the parties):
