Conditions to Purchase of Notes. The obligation of Purchasers to purchase and pay for the Notes is subject to the satisfaction or waiver, prior to or at the Closing, of the following conditions:
Conditions to Purchase of Notes. Subject to the terms and conditions of this Agreement, each Purchaser will at the Closing, on the Closing Date, purchase from the Company the Note in the amount and for the Purchase Price as set forth on Schedule 1.
Conditions to Purchase of Notes. 3.1. Any purchase of Notes pursuant to this Agreement shall be subject to the applicable provisions in this Section 3.1.
Conditions to Purchase of Notes. Subject to the terms and conditions of this Agreement, the Purchasers will at the Closing, on the Closing Date, purchase from the Company the Notes in the amounts and for the purchase price as set forth on Schedule 1 (the “Purchase Price”), provided, that on the Closing Date, (i) no Event of Default (or event that with the passage of time or the giving of notice, or both, would become an Event of Default), shall have occurred or would result therefrom; and (ii) the applicable conditions in Section 2.5 hereof have been satisfied.

The effectiveness of the amendments and restatements referred to in paragraph 3A and the obligation of any Purchaser to purchase and pay for any Notes is subject to the satisfaction (i) on or before the Restatement Date, of each of the conditions set forth in paragraph 3A, and (ii) on or before the Closing Day for such Notes, of the following additional conditions:
Conditions to Purchase of Notes. Purchaser’s obligation to purchase Notes at each Closing under this Agreement is subject to the satisfaction of all of the following conditions, any of which may be waived in whole or in part by Purchaser:
