Conditions to the Obligations of Parent and Sub I. The obligations of Parent and Sub I to effect the First Merger shall be subject to the satisfaction at or prior to the Effective Time of each of the conditions set forth on Appendix C attached hereto, any of which may be waived, in writing, exclusively by Parent and Sub I.
