Conditions to the Obligations of the Parties at Closing. The obligations of the Parties to effect the transactions contemplated by this Agreement to occur at the Closing, shall be subject to the fulfillment at or prior to the Closing, of the following conditions, unless waived by both Parties in their sole discretion:
