CONDITIONS TO THE OBLIGATIONS OF THE SELLERS AND THE SHAREHOLDER. The obligations of the Sellers and the Shareholder to proceed with the Closing are subject to the satisfaction on or prior to the Closing Date of all of the following conditions, any one or more of which may be waived in writing, in whole or in part, by the Sellers and the Shareholder; provided, however, that no such waiver of a condition shall constitute a waiver by the Sellers or the Shareholder of any of their other rights or remedies, at law or in equity, if the Purchaser or the Parent shall be in breach or default of any of their representations, warranties or covenants under or contained in this Agreement:
