Conduct of Business and Maintenance of Existence. Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4; comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would not, in the aggregate, have a Material Adverse Effect.

Continue Subject to Section 6.4 hereof, continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and and, except to the extent that failure to do so would not have a Material Adverse Effect, take such all reasonable action to maintain all rights, privileges privileges, trademarks, trade names, licenses, franchises and franchises other authorizations necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4business; comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would notnot reasonably be expected to have, in the aggregate, have a Material Adverse Effect.

Continue to engage in business of substantially businesses related to the same general type as businesses now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection Section 6.4; comply with all Contractual Obligations and Requirements of Law (excluding, for purposes of this subsection, Requirements of Law specifically addressed in other subsections of this Article 5) except to the extent that failure to comply therewith would not, in the aggregate, have a Material Adverse Effect.

Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4Section 6.3 or 6.6 unless the failure to do so could not reasonably be expected to have a Material Adverse Effect; and comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Continue Except as expressly permitted under Section 6.4, continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, on the Closing Date and preserve, renew and keep in full force and effect its corporate or other formative existence and good standing, take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant and to subsection 6.4; maintain its goodwill and comply with all Contractual Obligations and Requirements of Law Law, except to where the extent that failure to comply therewith would nottake such actions could not reasonably be expected, individually or in the aggregate, to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue to engage in business Business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, permitted by SECTION 6.14 and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business Business except as otherwise permitted pursuant to subsection Section 6.4; and comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would could not, in the aggregate, have a Material Adverse Effect.

Continue to engage in business primarily of substantially the same general type types as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence existence; and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business business, except as otherwise permitted pursuant to subsection 6.4; 7.5, and comply with all Contractual Obligations and Requirements of Law except to the extent that failure to maintain such rights, privileges and franchises and to comply therewith would with Contractual Obligations and Requirements of Law could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary on the date hereof and similar or related theretobusinesses; except as permitted by Section 8.3, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges privileges, licenses and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4business; and comply with all Contractual Obligations and Requirements of Law applicable to it except to the extent that failure to comply therewith would not, in the aggregate, have a Material Adverse Effect.

Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillaryand, complementary or related theretoexcept as may be permitted under subsection 7.3, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all material rights, privileges privileges, contracts, copyrights, patents, trademarks, tradenames and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4business; and comply with all of its Contractual Obligations and Requirements of Law except to the extent that the failure to comply therewith would could not, in the aggregate, reasonably be expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. (a) Continue to engage in business businesses of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate legal existence and take such reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4; comply . (b) Comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would not, in the aggregate, have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue Lessee shall, and shall cause each of its Subsidiaries to, continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or (in the reasonable judgment of Lessee) desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4by Section 5.2; and comply with all Contractual Obligations and Requirements of Law except to the extent that the failure to comply therewith would could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except if in the reasonable business judgment of the Company or such Subsidiary, as the case may be, it is in its best economic interest not to preserve and maintain such rights or franchises, and as otherwise permitted pursuant to subsection 6.4Section 6; and comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would not, in the aggregate, be likely to have a Material Adverse Effect.;

Conduct of Business and Maintenance of Existence. Continue to engage in business of substantially in the same general type as of industry or industries in which its business is now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a wholeit, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business business, except as otherwise permitted pursuant where the failure to subsection 6.4maintain such rights, privileges and franchises would not, in the aggregate, reasonably be expected to have a Material Adverse Effect; comply with all Contractual Obligations and Legal Requirements of Law except to the extent that failure to comply therewith would not, in the aggregate, reasonably be expected to have a Material Adverse Effect.

Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillaryand, complementary or related theretoexcept as may be permitted under subsection 7.3, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges privileges, contracts, copyrights, patents, trademarks, tradenames and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4business; and comply with all of its Contractual Obligations and Requirements of Law except to the extent that the failure to comply therewith would could not, in the aggregate, reasonably be expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Conduct of Business and Maintenance of Existence. Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a wholeit, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant for rights, privileges and franchises the loss of which, individually or in the aggregate, could not reasonably be expected to subsection 6.4have a Material Adverse Effect; and comply with all Contractual Obligations and applicable Legal Requirements of Law except to the extent that the failure to comply therewith would nottherewith, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its and each Subsidiary's corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct material to its and those of each of its Subsidiaries' business except as otherwise permitted pursuant to subsection 6.4; Section 8.4 and comply and cause each of its Subsidiaries to comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would not, not in the aggregate, aggregate reasonably be expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue Except as provided in subsection 8.5, continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant for any failure to subsection 6.4preserve and maintain such privileges, rights or franchises that could not reasonably be expected to have a Material Adverse Effect; comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its and each Subsidiary's corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct material to its and those of each of its Subsidiaries' business except as otherwise permitted pursuant to subsection 6.4; Sections 8.3 and 8.10 and comply and cause each of its Subsidiaries to comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would not, could not in the aggregate, aggregate reasonably be expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue Except as set forth in the Form S-1, continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4Section 6.3 or 6.7 unless the failure to do so could not reasonably be expected to have a Material Adverse Effect; and comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith would could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Continue to engage in business of substantially the same general type as now conducted by it or any business reasonably ancillary, complementary or related thereto, taken as a whole, on the Closing Date and preserve, renew and keep in full force and effect its corporate existence and take such all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 6.4business; and comply with all Contractual Obligations and Requirements of Law except applicable to it; except, in each case, (x) as otherwise permitted under this Agreement or any other Credit Document or (y) to the extent that failure to comply therewith would could not, in the aggregate, reasonably be expected to have a Material Adverse Effect.
