Common use of Conduct of Business and Maintenance of Existence Clause in Contracts

Conduct of Business and Maintenance of Existence. (a) Continue to engage in business of the same general type as conducted by it on the Closing Date; (b) preserve, renew and keep in full force and effect its corporate existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4; and (d) comply with all Requirements of Law except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. (a) Continue to engage in business of the same general type as conducted by it on the Closing Date; (b) preserve, renew and keep in full force and effect its corporate existence (except with respect to Subsidiaries of the Borrower as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4; and (d) comply with all Requirements of Law except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

(a) Continue to engage in business of the same general type as now conducted by it on the Closing Date; (b) Date and preserve, renew and keep in full force and effect its corporate existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect)existence; (cb) take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4business; (c) comply in all material respects with all Contractual Obligations; and (d) comply with all Requirements of Law except applicable to it, except, in the case of clauses (b), (c) and (d) above, to the extent that failure to comply therewith could not, individually or in the aggregate, reasonably be reasonably expected to have a Material Adverse Effect.

(a) Continue to engage in business of the same general type as conducted by it on the Closing Signing Date; , (b) preserve, renew and keep in full force and effect its corporate existence and (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); , (c) take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4; 9.4 and (d) comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

(ai) Continue to engage in business of the same general type as now conducted by it on the Closing Date; (b) or as described in Section 8.13 and preserve, renew and keep in full force and effect its corporate existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) and take all reasonable action to maintain all material rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4Section 8.4 or where the failure to do so could not reasonably be expected to have a Material Adverse Effect; and (dii) comply with all Contractual Obligations and Requirements of Law Law, except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. (a) Continue to engage in business of the same general type as now conducted by it on the Closing Date; (b) or as described in Section 8.12 and preserve, renew and keep in full force and effect its corporate existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) and take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in material to the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4Section 8.4 or where the failure to do so could not reasonably be expected to have a Material Adverse Effect; and (db) comply with all Contractual Obligations and Requirements of Law Law, except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

(ai) Continue to engage in business of the same general type as now conducted by it on the Closing Date; (b) or as described in Section 8.14 and preserve, renew and keep in full force and effect its corporate legal existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) and take all reasonable action to maintain all material rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4Section 8.4 or where the failure to do so could not reasonably be expected to have a Material Adverse Effect; and (dii) comply with all Contractual Obligations and Requirements of Law Law, except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

(a) Continue to engage in business of the same general type as now conducted by it on the Closing Date; (b) it, and preserve, renew and keep in full force and effect its corporate existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); permitted herein) and (cb) take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of the Borrower and its Subsidiaries’ business except as otherwise permitted pursuant to subsection 9.4; and (d) comply with all Contractual Obligations and Requirements of Law Law, except as permitted in the Loan Documents or to the extent that failure to comply therewith could nottherewith, individually or in the aggregate, could not reasonably be reasonably expected to have a Material Adverse Effect.

(a) Continue to engage in business of the same general type as conducted by it on the Closing Date; (b) Signing Date and 55 50 preserve, renew and keep in full force and effect its corporate existence and (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.48.3; and (d) comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. (a) Continue to engage in business of the same general type as conducted by it on the Closing Date; (b) Signing Date and preserve, renew and keep in full force and effect its corporate existence and (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal 42 37 conduct of its business except as otherwise permitted pursuant to subsection 9.47.3; and (d) comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith could not, in the aggregate, be reasonably expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. Continue to (a) Continue to engage in business businesses of the same general type as conducted by it the businesses in which the Borrower and its Subsidiaries are engaged on the Closing Date; date hereof and as contemplated by the Asset Purchase and (b) preserve, renew and keep in full force and effect its corporate existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) take all reasonable action to and maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4Section 7.3; and (d) comply with all Contractual Obligations and Requirements of Law except to the extent that failure to comply therewith could not, individually or in the aggregate, reasonably be reasonably expected to have a Material Adverse Effect.

Conduct of Business and Maintenance of Existence. (a) Continue to ------------------------------------------------ engage in business of the same general type as now conducted by it on the Closing Date; (b) and preserve, renew and keep in full force and effect its corporate existence (except as could not in the aggregate be reasonably expected to have a Material Adverse Effect); (c) and take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to subsection 9.4subsections 7.3 or 7.4; and (d) comply with all Contractual Obligations and Requirements of Law Law, including, without limitation, all ERISA and tax laws and all Environmental Laws, except to the extent that failure to comply therewith could would not, in the aggregate, be reasonably expected to have a Material Adverse Effect.
