Common use of Confidential Nature of Records Clause in Contracts

Confidential Nature of Records. Buyer recognizes that the records to be maintained by Seller under this Article 13, and the information provided by either party in the course of an audit are confidential and proprietary in nature. Accordingly, each Party agrees that no information obtained in an audit or inspection will be disclosed without prior consent in writing from the other Party, except to the extent a Party is legally compelled to make such disclosure pursuant to applicable law, or to establish a claim or defense on behalf of Buyer in a Dispute between Buyer and Seller. Buyer shall in any event seek confidential treatment of such information prior to making any such disclosure.
