From the date of this Agreement until the Closing, none of the Securityholder or the Company shall not make any public announcements regarding this Agreement, the Transaction Merger Agreement or the transactions contemplated hereby or thereby; provided, however, that nothing herein shall be deemed to prohibit such public announcement (ai) that the Company and Purchaser Parent agree upon,, (ii) that either the Company or Parent deems necessary or appropriate under applicable Laws or (iii) required by obligations pursuant to any listing agreement with any national securities exchange or stock market.
