Common use of Confidentiality of Audit Materials Clause in Contracts

Confidentiality of Audit Materials. Information provided by Microsoft to the FBI CJIS Division or CSA in connection with audit activities will consist of highly confidential proprietary or trade secret information of Microsoft. It is not expected that Enrolled Affiliate will require access to such information, and Microsoft may request reasonable assurances, written or otherwise, that information will be maintained as confidential and/or trade secret prior to providing such information to Enrolled Affiliate. If provided, Enrolled Affiliate will ensure Microsoft’s audit materials, or report(s) created by Enrolled Affiliate based on a CSA audit of the Covered Services, are afforded the highest level of confidentiality available under applicable law.

It is not expected that Enrolled Affiliate any State entity other than the CSA will require access to such information, and Microsoft may request reasonable assurances, written or otherwise, that information will be maintained as confidential and/or trade secret prior to providing such information to Enrolled Affiliatethe State. If provided, Enrolled Affiliate the State will ensure Microsoft’s audit materials, or report(s) created by Enrolled Affiliate the State based on a CSA audit of the CJIS Covered Services, are afforded the highest level of confidentiality available under applicable law. For clarity, the terms and conditions of the agreement between the CSA and Microsoft provide for the CSA’ handling of Microsoft’s audit materials.
