Confidentiality; Public Statements. Except as provided in Section 16.2, each Party agrees that, during the Term, it shall hold in strict confidence and shall not without the prior written consent of the other Party disclose to any Person (a) any Confidential Information with respect to the other Party (and its Affiliates) or (b) the terms and conditions and other information contained in any Transaction Agreement. The Parties shall consult with each other and, subject to Section 16.2, no Party shall issue any public announcement or statement with respect to the existence of this Agreement or the Master Agreement, or any transaction contemplated hereby or thereby without the consent of the other Party.
