Confirmation of Existing Obligations. The Borrower hereby reaffirms and admits the validity and enforceability of this Agreement and the other Loan Documents and all of its obligations hereunder and thereunder and agrees and admits that, as of the Restatement Effective Date, it has no defenses to, or offsets or counterclaims against, any of its obligations to the Secured Parties under the Loan Documents of any kind whatsoever.
