Conflict of Interest; Governmental Conduct Act. A. The Contractor represents and warrants that it presently has no interest and, during the term of this Agreement, shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance or services required under the Agreement. The Contractor further represents and warrants that it has complied with, and, during the term of this Agreement, will continue to comply with, and that this Agreement complies with all applicable provisions of the Governmental Conduct Act, Chapter 10, Article 16 XXXX 0000. If it is later determined that Contractor's representations and warranties in Paragraphs A and B of this Article 12 were erroneous on the effective date of this Agreement or have become erroneous by reason of new or changed circumstances, in addition to other remedies available to the City and notwithstanding anything in the Agreement to the contrary, the City may immediately terminate the Agreement. The City and Contractor recognize that Contractor's representation of the City under this Agreement and in public finance-related matters in which Contractor represents the City on an ongoing basis, will not disqualify Contractor from requesting a waiver to permit it to represent clients in other matters, including litigation and other situations where that representation is adverse to the City. Any such requests shall be unrelated to the subject matter of this Agreement and to public finance matters and would only be requested if they would not conflict with the performance of Contractor's obligations under this Agreement. Contractor agrees not to use any proprietary or other confidential information of a nonpublic nature concerning the City acquired by Contractor as a result of its representation of the City to its material disadvantage in connection with any litigation or other situation. Contractor acknowledges that the City would evaluate each waiver request on a case-by-case basis.
