Conflict with Charter. If and to the extent that any of the covenants and undertakings given by the Charterer in this Deed may conflict with any of the provisions of the Charter, such covenants and undertakings shall (as between the Mortgagee on the one hand and the Owner and the Charterer on the other hand but not otherwise) prevail over such provisions.
Conflict with Charter. To the extent there are any conflicts between the terms of the Charter and the terms of this Agreement, the terms of the Charter shall control if the subject of such conflict would require an amendment to the Charter.
Conflict with Charter. Should any provision of this Agreement be found to conflict with the Charter of the City of Vallejo, the provisions of the Charter shall control.
Conflict with Charter. To the extent permitted by Russian law, if there is any conflict between the provisions of this Agreement and the provisions of the Charter, the Participants agree that, as between themselves and for so long as this Agreement remains in force but not so as to amend the Charter, the provisions of this Agreement shall prevail and the Participants shall exercise all voting and other rights and powers available to them to give effect to the provisions of this Agreement.
Conflict with Charter. No amendment to the Company’s certificate of incorporation shall have been adopted that prohibits the Company from granting or maintaining participating or pre-emptive rights with respect to the Common Stock or other securities of the Company.
Conflict with Charter. Subject to Section 11(n), to the extent there are any conflicts between the terms of the School Charter and the terms of this Agreement, the terms of the School Charter shall control.
