Conflicts Under Contracts. Such Seller is not a party to, or bound by, any unexpired, undischarged or unsatisfied written or oral contract, agreement, indenture, mortgage, debenture, note or other instruments under the terms of which the execution, delivery and performance by such Seller of this Agreement and the consummation of the transactions contemplated hereby by such Seller will require a consent, approval, or notice or result in a Lien on the Membership Interests owned by such Seller, other than agreements between the Sellers.

Such Seller is not a party to, or bound by, any unexpired, undischarged or unsatisfied written or oral contract, agreement, indenture, mortgage, debenture, note or other instruments under the terms of which the execution, delivery and performance by such Seller of this Agreement and the consummation of any of the transactions contemplated hereby by such Seller will require a consent, approvalor approval which has not been obtained on or prior to the date hereof, or notice which has not been given on or prior to the date hereof, or result in a Lien lien on the Membership Equity Interests or any portion thereof owned by such Seller, other than agreements between the Sellers.

Such Seller is not a party to, or bound by, any unexpired, undischarged contract or unsatisfied written or oral contract, agreement, indenture, mortgage, debenture, note or other instruments agreement under the terms of which the execution, delivery and performance by such Seller of this Agreement and the consummation of the transactions contemplated hereby by such Seller will require a consent, approvalapproval or notice, or notice or result in a Lien on the Membership Interests owned by such Seller, other than agreements between the SellersShares. Such Seller has not entered into any agreement or commitment with any Person that is inconsistent with this Agreement.

Such Seller is not a party to, or bound by, any unexpired, undischarged or unsatisfied written or oral contract, agreement, indenture, mortgage, debenture, note or other instruments under the terms of which the execution, delivery and performance by such Seller of this Agreement and the consummation of the transactions transaction contemplated hereby by such Seller will require a consent, approval, or notice or result in a Lien lien on the Membership Option Equity Interests or any portion thereof owned by such SellerSeller or would prohibit, other than agreements between prevent or delay timely performance by Seller according to the Sellersterms of this Agreement.
