Except as set forth in the corresponding section of the disclosure schedules referred to in Exhibit 3, each of Company and Sellers, jointly and severally, hereby represents and warrants to Parent and LuxCo that each of the representations and warranties set forth in Exhibit 3, is true, correct and complete as of the date of this Agreement and as of the Closing Date, provided that Sellers shall deliver to Parent and LuxCo the Schedules referred to in Exhibit 3 as soon as they are available after the date hereof, subject to subsequent updates and modifications, but in no event later than July 23, 2013.
REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND SELLERS. As a material inducement to Buyer to enter into this Agreement and to consummate the transactions contemplated herein, the Company and Sellers hereby, jointly and severally, make the following representations and warranties to Buyer, subject to qualification by the disclosure schedules. The information disclosed in any particular disclosure schedule shall be deemed to relate to and to qualify only the particular representation or warranty set forth in the corresponding numbered section in this Agreement and shall not be deemed to relate to or to qualify any other representation or warranty.

The Company and each Seller hereby represent and warrant to Buyer, jointly and severally, subject to such exceptions as are specifically disclosed in the corresponding section and, where applicable, paragraph number of the Disclosure Schedule (provided that the disclosures in any section or paragraph of the Disclosure Schedule shall qualify other sections and paragraphs to the extent that it is reasonably apparent on the face of such disclosure that such disclosure is applicable to such other sections and paragraphs), as follows:

Except as set forth in a schedule dated the date of this Agreement and delivered by Sellers to Telenetics concurrently herewith (the "Disclosure ---------- Schedule") specifically identifying the Section of this Agreement requiring the -------- delivery of such disclosure, each Seller severally and not jointly makes the representations and warranties to Telenetics as set forth below; provided, however, that with respect to the representations and warranties contained in Sections 2.13, 2.14 and 2.24, each of Xxxxxxxx and Xxxxxx makes such ---------------------------- representations and warranties to the best of his knowledge.

The Company and Sellers, jointly and severally, represent and warrant to Purchaser that, subject to the schedule of disclosures and exceptions (the “Disclosure Schedule”) attached as Exhibit F to this Agreement, which disclosures and exceptions shall be deemed to be part of the representations and warranties made hereunder, the following representations (the “Sale Representations”) are true and complete as of the Effective Date, and shall be true and complete as of the date of the Closing, except as otherwise indicated. The Disclosure Schedule shall be arranged in numbered schedules corresponding to the numbered and lettered sections contained in this Section 2, and the disclosures in any schedule of the Disclosure Schedule shall qualify other sections in this Section 2 only to the extent it is reasonably apparent from a reading of the disclosure that such disclosure is applicable to such other sections of this Section 2.
REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND SELLERS. As an inducement to Buyer to enter into this Agreement and to consummate the Transactions, the Company and each Seller, jointly and severally, hereby represent and warrant to Buyer that the statements set forth in this Section 3 are true and correct, except as set forth in the schedules accompanying this Agreement (each a “Schedule” and, collectively, the “Disclosure Schedules”). The Disclosure Schedules have been arranged for purposes of convenience in separately titled sections corresponding to the respective Sections below. Capitalized terms used in the Disclosure Schedules and not otherwise defined therein shall have the meanings ascribed to them in this Agreement. EXCEPT FOR THE REPRESENTATIONS AND WARRANTIES CONTAINED IN THIS SECTION 3 OR IN ANY CERTIFICATE DELIVERED BY THE COMPANY OR ANY SELLER PURSUANT HERETO, NEITHER THE COMPANY NOR ANY SELLER MAKES ANY EXPRESS OR IMPLIED REPRESENTATION OR WARRANTY, AND THE COMPANY AND EACH SELLER HEREBY DISCLAIMS ANY REPRESENTATION OR WARRANTY THAT IS NOT CONTAINED IN THIS AGREEMENT OR IN ANY CERTIFICATE DELIVERED BY THE COMPANY OR A SELLER PURSUANT HERETO.
