Common use of Conflicts with and between Ancillary Agreements Clause in Contracts

Conflicts with and between Ancillary Agreements. Notwithstanding anything to the contrary in this Agreement or any Ancillary Agreement: (a) in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Tax Matters Agreement) and the Tax Matters Agreement in relation to any matters addressed by the Tax Matters Agreement, the Tax Matters Agreement shall prevail; (b) except as set forth in Section 8.6(a) or 8.6(b), in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Employee Matters Agreement) and the Employee Matters Agreement in relation to any matters addressed by the Employee Matters Agreement, the Employee Matters Agreement shall prevail; (c) except as set forth in Section 8.6(a), 8.6(b) or 8.6(c) in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Registration Rights Agreement) and the Registration Rights Agreement in relation to any matters addressed by the Registration Rights Agreement, the Registration Rights Agreement shall prevail; and (d) except as set forth in Section 8.6(a), 8.6(b) or 8.6(c), or 8.6(d), in the case of any conflict between this Agreement or any Ancillary Agreement in relation to any matters addressed by this Agreement, this Agreement shall prevail.

Notwithstanding anything to the contrary in this Agreement or any Ancillary Agreement: (a) in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Tax Matters Agreement) and the Tax Matters Agreement in relation to any matters addressed by the Tax Matters Agreement, the Tax Matters Agreement shall prevail; (b) except as set forth in Section 8.6(a) or 8.6(b), in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Employee Matters Agreement) and the Employee Matters Agreement in relation to any matters addressed by the Employee Matters Agreement, the Employee Matters Agreement shall prevail; (c) except as set forth in Section 8.6(a), 8.6(b) or 8.6(c) in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Registration Rights Shareholder’s Agreement) and the Registration Rights Shareholder’s Agreement in relation to any matters addressed by the Registration Rights Shareholder’s Agreement, the Registration Rights Shareholder’s Agreement shall prevail; and (d) except as set forth in Section 8.6(a), 8.6(b) or 8.6(c), or 8.6(d), in the case of any conflict between this Agreement or any Ancillary Agreement in relation to any matters addressed by this Agreement, this Agreement shall prevail.

Notwithstanding anything to the contrary in this Agreement or any Ancillary Agreement: (a) in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Tax Matters Sharing Agreement) and the Tax Matters Sharing Agreement in relation to any matters addressed by the Tax Matters Sharing Agreement, the Tax Matters Sharing Agreement shall prevail; (b) except as set forth in Section 8.6(a), in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Intellectual Property License Agreement) and the Intellectual Property License Agreement in relation to any matters addressed by the Intellectual Property License Agreement, the Intellectual Property License Agreement shall prevail; (c) except as set forth in Section 8.6(a) or Section 8.6(b), in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Employee Matters Agreement) and the Employee Matters Agreement in relation to any matters addressed by the Employee Matters Agreement, the Employee Matters Agreement shall prevail; (c) except as set forth in Section 8.6(a), 8.6(b) or 8.6(c) in the case of any conflict between this Agreement or any Ancillary Agreement (other than the Registration Rights Agreement) and the Registration Rights Agreement in relation to any matters addressed by the Registration Rights Agreement, the Registration Rights Agreement shall prevail; and (d) except as set forth in Section 8.6(a), Section 8.6(b) or Section 8.6(c), or 8.6(d), in the case of any conflict between this Agreement or any Ancillary Agreement in relation to any matters addressed by this Agreement, this Agreement shall prevail.
