The Preliminary Prospectus and Prospectus delivered to the Underwriters for use in connection with the sale of the Offered Shares pursuant to this Agreement will be identical to the versions of the Preliminary Prospectus and Prospectus created to be transmitted to the Commission for filing via EXXXX, except to the extent permitted by Regulation S-T.

To the best of your Knowledge, the prospectus delivered to us for use in connection with the sale of the Resale Shares pursuant to this Agreement is identical to the version of the prospectus included in the Registration Statement as filed via EXXXX, except to the extent permitted by Regulation S-T.
