Confusingly Similar or Competing Marks. Neither Party shall adopt or use any intellectual property which incorporates or is confusingly similar to, or is a simulation or colorable imitation of, the other Party’s intellectual property, or which unfairly competes with such intellectual property, whether during or after termination of this Agreement, nor apply anywhere in the world to register any trademarks identical to or so nearly resembling the other Party’s intellectual property as to be likely to deceive or cause confusion. Neither Party shall, at any time, whether during or after termination of this Agreement, use the intellectual property of the other Party as part of its corporate business or trading name or style unless agreed to in writing or as part of this Agreement.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.
