Common use of Consent Fee Clause in Contracts

Consent Fee. The Borrower agrees to pay to the Administrative Agent on the Effective Date for the benefit of each Lender executing this Amendment on or prior to 3:00 p.m. (New York City time) on July 11, 2014, a consent fee equal to 15 basis points of the aggregate principal amount of such Lender’s outstanding Loans and Commitments at the time of such Lender’s execution and delivery of this Amendment (the “Consent Fee”).

Consent Fee. The Borrower agrees to pay shall have paid to the Administrative Agent on the Effective Date Agent, for the benefit account of each Lender executing that has delivered an executed counterpart consenting to this Amendment on or prior to 3:00 5:00 p.m. (New York City time) time on July 11September 25, 20142015, a consent fee equal to 15 basis points 0.10% of the aggregate principal amount of such Lender’s outstanding Loans and Commitments at Revolving Commitment as of the time of such Lender’s execution and delivery of this First Amendment (the “Consent Fee”)Effective Date.

Consent Fee. The Borrower agrees shall have paid to pay the Administrative Agent, for the account of each Lender that submits its consent hereto to the Administrative Agent on the Effective Date for the benefit of each Lender executing this Amendment on or prior to 3:00 5:00 p.m. (New York City time) Time on July 11November 19, 20142018, a consent fee equal to 15 basis points of described on Schedule I hereto, based on the aggregate principal amount of such Lender’s outstanding Term Loans and Revolving Credit Commitments at held by such consenting Lender immediately prior to the time of such Lender’s execution and delivery effectiveness of this Amendment (the “Consent Fee”)Amendment.

Consent Fee. The Borrower agrees to pay Borrowers shall have paid to the U.S. Administrative Agent on the Effective Date for the benefit account of each Lender executing this that executes and delivers the Amendment on or prior to 3:00 p.m. (by 4:00 p.m., New York City time) , on July 11March 1, 20142011, a consent fee in an amount equal to 15 basis points 0.50% of the aggregate principal amount of each such Lender’s outstanding Loans and Commitments at the time of Total Exposure Amount on such Lender’s execution and delivery of this Amendment (the “Consent Fee”)date.
