Consents and Approvals of Governmental Authorities and Others. No approval or authorization of, filing or registration with, or notification to, any Governmental Authority is required in connection with the execution and delivery of this Agreement by Buyer or the performance of its obligations hereunder or the consummation of the Transactions.
Consents and Approvals of Governmental Authorities and Others. No consent, approval or authorization of, or declaration, filing or registration with, or the giving of notice to, any domestic or foreign governmental or regulatory authority or any other person or entity is required in connection with the execution, delivery and performance by Buyer of this Agreement or the consummation by Buyer of the transactions contemplated hereby, other than the filing of a Current Report on Form 8-K with the Securities and Exchange Commission (the “SEC”).

Except as noted in Schedule 6.3, no consent, approval or authorization of any Person is required in connection with the execution or delivery of this Agreement by Buyer, the purchase by Buyer of the Business and the Purchased Assets, or the performance by Buyer of any other obligation under this Agreement.

Except as disclosed on Schedule 4.4 and other than any filings or registrations ------------ to perfect or record the transfer of any Purchased Assets to Buyer, no approval or authorization of, filing or registration with, or notification to, any Governmental Authority other than the Competition Bureau (Canada) is required in connection with the execution and delivery of this Agreement or the Sellers Documents by Sellers or the performance of their obligations hereunder or thereunder or the consummation of the transactions contemplated hereby or thereby. Except for the approval of the Shareholders of PNG Products or as disclosed on Schedule 4.4, no consent, approval or authorization of any Person ------------ is required in connection with the execution, delivery or performance of this Agreement by Sellers, the transfer to Buyer of the tangible personal property included in the Purchased Assets or the assignment of the Material Contracts Requiring Consent or the performance by Sellers of its indemnification obligations under Section 11 of this Agreement.
