CONSENTS AND STOCKHOLDER APPROVAL. (a) MIOA shall have obtained and delivered to PHC the written consents or approvals specified, or to be specified, in SCHEDULE 5.4 (except for such consents or approvals as to which, in the aggregate, the failure to obtain them shall not have a Material Adverse Effect) and all of such consents shall remain in full force and effect at and as of the Closing.
