The Parent Stockholder Approval is the only vote of the holders of any class or series of the Parent Capital Stock necessary to approve the Parent Stock Issuance or the Parent Charter Amendment.
The Company Stockholder Approval and the Parent Stockholder Approval shall have been obtained.
