CONSEQUENCES OF TERMINATION AND EXPIRY. 10.1 Notwithstanding the service of a notice to terminate the Framework Agreement, the Provider shall continue to fulfil its obligations under the Framework Agreement until the date of expiry or termination of the Framework Agreement or such other date as required under this clause 10. 10.2 Unless expressly stated to the contrary, the service of a notice to terminate the Framework Agreement shall not operate as a notice to terminate any Call-Off Contract made under the Framework Agreement. The Authority shall be entitled to require access to data or information arising from the provision of the Services from the Provider until the latest of: the expiry of a period of twelve (12) Months following termination or expiry of the Framework Agreement; or the expiry of a period of three (3) Months following the date on which the Provider ceases to provide Services under any Call-Off Contract. Termination or expiry of this Framework Agreement shall be without prejudice to any rights, remedies or obligations of either Party accrued under this Framework Agreement before prior to termination or expiry. 10.5 . For the avoidance of doubt, all Call-Off Contracts shall remain in force unless and until they are terminated or expire in accordance with their own terms. 10.3 19.3 Within 14 30 Working Days of the date of termination or expiry of the Framework Agreement, the Provider shall return or destroy (unless precluded by Law) at the request of the Welsh Ministers Council any data, personal information relating to the Welsh Ministers or Council, its personnel personnel, Service Users or Confidential Information belonging to the Welsh Ministers Council in the Provider’s 's possession, power or control, either in its then current format or in a format nominated by the Welsh Ministers (in which event the Welsh Ministers will reimburse the Provider’s reasonable data conversion expenses), together with all training manuals and other related documentation, Council and any other information and all copies thereof owned by the Welsh MinistersCouncil, save that it may keep one copy of any such data or information for a period of up to 12 Months to comply with its obligations under the Framework Agreement, or such period as is necessary for compliance with the Law or any regulatory requirements imposed by the Regulator. 10.4 19.4 Subject to clause 1.3, in the event of termination of the Framework Agreement by the Council the Council shall not have liability to the Provider for any Direct Loss or Indirect Loss suffered by the Provider caused by such termination. 19.5 Termination or expiry of this Framework Agreement shall be without prejudice to any rights, remedies or obligations of either Party the Council accrued under this Framework Agreement before termination or expiry. 10.5 19.6 Where this Framework Agreement is terminated in accordance with clauses 17.1, 17.3 or 21 or the Provider is subject to a suspension in accordance with Clause 18 when this Framework Agreement terminates, the Provider agrees that unless it receives the Councils prior written consent, which may be withheld in the Council’s absolute discretion, it shall not be eligible for admission onto this framework, and shall not apply to re-join the framework, for a period of not less than 12 months from the Termination Date. The Provider shall indemnify the Council against all costs, claims, damages, expenses, demands and losses incurred as a result of an actual or alleged breach, or anticipatorily breach, of this clause 19.6 19.7 The provisions of clause 10 (consequences of Termination and Expiry)8, clause 19 (Warranties and Representations)10.2, clause 23 (Confidentiality) clause 24 (Data Protection)12, clause 25 (Freedom of Information)13, clause 28 (Records 14, clause 15, clause 16, clause 19, clause 21, and Access) and Clause 37 (Costs) clause 31 shall survive the termination or expiry of the Framework Agreement, together with any other provision which is either expressed to or by implication is intended to survive termination.

CONSEQUENCES OF TERMINATION AND EXPIRY. 10.1 33.1 Notwithstanding the service of a notice to terminate the this Framework Agreement, the Service Provider shall continue to fulfil its obligations under the this Framework Agreement until the date of expiry or termination of the this Framework Agreement Term or such other date as required under this clause 1033. 10.2 Unless expressly stated to the contrary, the 33.2 The service of a notice to terminate the this Framework Agreement shall not operate as a notice to terminate any Call-Off off Contract made under the this Framework Agreement. Termination or expiry of the this Framework Agreement shall not cause any Call-Off Contracts to terminate automatically. For the avoidance of doubt, all Call-Off off Contracts shall remain in force unless and until they are terminated or expire in accordance with their own termsthe Call-off Terms. 10.3 33.3 Within 14 thirty (30) Working Days of the date of termination or expiry of the this Framework Agreement, the Service Provider shall return or destroy at the request of the Welsh Ministers Council any Authority Data and any data, personal information relating to the Welsh Ministers Council or its personnel personnel, or Confidential Information belonging to the Welsh Ministers Council in the Service Provider’s possession, power or control, either in its then current format or in a format nominated by the Welsh Ministers (in which event the Welsh Ministers will reimburse the Provider’s reasonable data conversion expenses), together with all training manuals and other related documentation, and any other information and all copies thereof owned by the Welsh Ministers. 10.4 33.4 Termination or expiry of this Framework Agreement shall be without prejudice to any rights, remedies or obligations of either Party accrued under this Framework Agreement before termination or expiry. 10.5 33.5 The provisions of clause 10 clauses 8 (consequences Warranties, Representations and Guarantees), 11 (Corrupt Gifts and Fraud), 20 (Records and Audit Access), 21 (Publicity), 22 (Confidentiality), 23 (Freedom of Information and Transparency), 24 (Royalty and Patent Rights), 25 (Intellectual Property Rights), 27 (Protection of Personal Data), 33 (Consequences of Termination and & Expiry), clause 19 34 (Warranties and RepresentationsIndemnity), clause 23 35 (Confidentiality) clause 24 (Data ProtectionLiability), clause 25 36 (Freedom of Information), clause 28 (Records and AccessInsurance) and Clause 37 47 (CostsGoverning Law and Jurisdiction) shall survive the termination or expiry of the this Framework Agreement, together with any other provision which is either expressed to or by implication is intended to survive termination.
