(a) The undersigned agrees to pay cash consideration or cancellation of indebtedness (“Cash Consideration”) to purchase the number of Shares subscribed for hereunder in the amount set forth on the signature page, which represents the payment in full for all Shares subscribed hereunder for cash Cash Consideration and Stock consideration are collectively referred to herein as “Consideration.”
