Consideration and Payment to the Seller. In full and final consideration of the sum of Rs. [ ]/‐ (Rupees [ ] only), received by the Seller, the receipt whereof the Seller hereby acknowledges, the Seller does hereby grant, convey, assign and transfer unto the Purchaser absolutely all his rights, titles and interests in the Land as hereinbefore described, free and clear from any Encumbrance, together with the Seller’s rights, titles and interests in all areas, drains, ways, paths, passages, xxxxx, water courses, tank, pipelines, rights, liberties, profits, privileges, easements, advantages and appurtenances whatsoever belonging to the Land or in any way appertaining thereto or to any part thereof now or at any time hereto before usually held, used, occupied or enjoyed or reputed to belong or be appurtenant thereto together with all deeds, documents of title and other writings whatsoever relating to the Land which are in the possession of the Seller, to have and to hold the Land unto and to the use of Purchaser.

  • Consideration and Payment The purchase price for the sale of the Purchased Assets sold to the Purchaser on the Closing Date shall equal the estimated fair market value of the Purchased Assets. Such purchase price shall be paid in cash to Santander Consumer in an amount agreed to between Santander Consumer and the Purchaser, and, to the extent not paid in cash by the Purchaser, shall be paid by a capital contribution by Santander Consumer of an undivided interest in such Purchased Assets that increases its equity interest in the Purchaser in an amount equal to the excess of the estimated fair market value of the Purchased Assets over the amount of cash paid by the Purchaser to Santander Consumer.
