Common use of Consideration by Employee Clause in Contracts

Consideration by Employee. In consideration of the Company's entering into this Agreement, Employee hereby agrees that, for the period commencing on the date hereof and extending through the end of the term of this Agreement, Employee will not voluntarily terminate employment with the Company without the Company's consent to such termination, except in the event of a termination by Employee for "Good Reason" (as defined in Section 2.3) in accordance with Section 2.4. As further consideration, Employee hereby agrees to the Restrictions set forth in Section 4 hereof.

Consideration by Employee. In consideration of the Company's entering into this Agreement, Employee hereby agrees that, for the period commencing on the date hereof and extending through the end of the term of this AgreementDecember 31, 1998, Employee will not voluntarily terminate employment with the Company without the Company's consent to such termination, except in the event of a termination by Employee for substantial change in Employee's position, duties, compensation or benefits which would be deemed "Good Reason" (as defined in Section 2.3) for Employee to terminate his employment in accordance with Section 2.42.3, without the Company's consenting 2 to such termination.
