Constating Documents and Certificate of Corporate Existence. (i) a copy of the constating documents of NHL, certified by a duly authorized officer of NHL, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than five business days prior to the Closing Date, of the jurisdiction of incorporation for NHL as to the corporate good standing thereof.
Constating Documents and Certificate of Corporate Existence. (i) a copy of the constating documents of Sonoma, certified by a duly authorized officer of Sonoma to be true and complete as of the Closing Date; and (ii) a certificate or the equivalent, dated not more than three days prior to the Closing Date, of the jurisdiction of incorporation of Sonoma as to the corporate good standing thereof.
Constating Documents and Certificate of Corporate Existence. Thundermin shall have received: (i) a copy of the Constating Documents of each of Rambler and Subco, certified by a duly authorized officer of Rambler and Subco, as applicable, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than three days prior to the Effective Date, of the jurisdiction of incorporation of each of Rambler and Subco as to the corporate good standing thereof.
Constating Documents and Certificate of Corporate Existence. The Sellers shall have received :
(a) from the Purchaser: (i) a copy, certified by one duly authorized officer of the Purchaser to be true and complete as of the Closing Date, of the articles and by-laws of the Purchaser; and (ii) a certificate or the equivalent, dated not more than two (2) days prior to the Closing Date, of the government of Delaware as to the corporate good standing of the Purchaser; and
(b) from Gold Bag: (i) a copy, certified by one duly authorized officer of Gold Bag to be true and complete as of the Closing Date, of the articles and by-laws of Gold Bag; and (ii) a certificate or the equivalent, dated not more than two (2) days prior to the Closing Date, of the government of Nevada as to the corporate good standing of Gold Bag.

CDNM shall have received from each of Blueberries and Blueberries SAS: (i) a copy of the Constating Documents of Blueberries and Blueberries SAS, certified by a duly authorized officer of Blueberries and Blueberries SAS, as the case may be, to be true and complete as of the Effective Date; and

Blueberries shall have received: (i) a copy of the Constating Documents of each of CDNM and Subco, certified by a duly authorized officer of CDNM and Subco, as the case may be, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than three days prior to the Effective Date, of the jurisdiction of incorporation of each of CDNM and Subco as to the corporate good standing thereof.

Apolo shall have received from each of CryptoGlobal and the CryptoGlobal Subsidiaries: (i) a copy of the Constating Documents of CryptoGlobal and the CryptoGlobal Subsidiaries, certified by a duly authorized officer of CryptoGlobal and each CryptoGlobal Subsidiary, as the case may be, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than three days prior to the Effective Date, of the jurisdiction of incorporation of each of CryptoGlobal and the CryptoGlobal Subsidiaries as to the corporate good standing thereof.

CryptoGlobal shall have received: (i) a copy of the Constating Documents of each of Apolo and Subco, certified by a duly authorized officer of Apolo and Subco, as the case may be, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than three days prior to the Effective Date, of the jurisdiction of incorporation of each of Apolo and Subco as to the corporate good standing thereof.
Constating Documents and Certificate of Corporate Existence. Stralak shall have received from Hempsana: (i) a copy of the Constating Documents of Hempsana, certified by a duly authorized officer of Hempsana, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than three days prior to the Effective Date, of the jurisdiction of incorporation of Hempsana as to the corporate good standing thereof;
Constating Documents and Certificate of Corporate Existence. Tiller shall have received from BCF: (i) a copy of the Constating Documents of BCF, certified by a duly authorized officer of BCF, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than three days prior to the Effective Date, of the jurisdiction of incorporation of BCF as to the corporate good standing thereof.
