Constating Documents and Certificate of Corporate Existence. (i) a copy of the constating documents of NHL, certified by a duly authorized officer of NHL, to be true and complete as of the Effective Date; and (ii) a certificate or the equivalent, dated not more than five business days prior to the Closing Date, of the jurisdiction of incorporation for NHL as to the corporate good standing thereof.

Purchaser shall have received from the Company: (i) a copy of the Constating Documents of the Company, the resolutions of the Company Board and Company Shareholders authorizing the Amalgamation, Business Combination and the entrance into of this Agreement and a certificate of incumbency of the Company, certified by a duly authorized officer of the Company, to be true and complete as of the Effective Date; (ii) a certificate or the equivalent, dated not more than three days prior to the Effective Date, of the jurisdiction of incorporation of the Company and the Subsidiaries as to the corporate good standing thereof and (iii) a certificate of the Company, certified by a duly authorized officer of the Company, as the case may be, to be true and complete list of all of the issued and outstanding securities of the Company as at the Effective Time.
