Consulting and Non-Competition Agreement. Prior to or as of the date hereof, the Company and Xxxxxx Xxxxxx shall enter into a Consulting and Non-Competition Agreement, dated and effective as of the date of the consummation of the Offer, in the form of EXHIBIT F hereto (the "XXXXXX AGREEMENT").

Xxxx to perform certain consulting services to the Purchasers and prohibit competing activities for a period of five years, and the payment to Xx. Xxxx of $100,000 payable in immediately available funds at the Closing.
