Common use of Contact with Business Relations Clause in Contracts

Contact with Business Relations. The Purchaser is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates to) contact any officer, director, manager, employee, customer, supplier, distributor or other material business relation of the Company or any of its Subsidiaries prior to the Closing without the prior written consent and coordination of Lazard Middle Market LLC (as representative for the Company) (not to be unreasonably delayed, conditioned or withheld).

Contact with Business Relations. The Purchaser hereby agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates to) contact any officer, director, manager, employee, consultant, Franchisee, customer, supplier, distributor or other material business relation of Seller or the Company or any of its their Subsidiaries prior to the Closing without the prior written consent and coordination of Lazard Middle Market LLC (as representative for the Company) (not to be unreasonably delayed, conditioned or withheld)Seller.

Contact with Business Relations. The Other than as expressly permitted under Section 7.04(b), the Purchaser is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates to) contact any officer, director, manageremployee, employeefranchisee, customer, supplier, distributor or other material business relation of the Company or any of its Subsidiaries prior to the Closing without the prior written consent and coordination of Lazard Middle Market LLC Xxx Xxxxxx or Xxxxx Xxxx of Xxxxx (as representative for the Company) (not to be unreasonably delayed, conditioned or withheld).
