Contact with Customers, Suppliers and Other Business Relations. During the period from the date of this Agreement until the earlier of the Closing or the termination of this Agreement in accordance with its terms, Purchaser hereby agrees that it is not authorized to and shall not (and shall not permit any of its Affiliates or any of its or their respective Representatives to) contact any director, employee, officer, customer, supplier, distributor, partner or other material business relation of Seller or any of its Affiliates (including any Business Employee) regarding the Business or the transactions contemplated by this Agreement or any Ancillary Agreement without the prior written consent of Seller (not to be unreasonably withheld, conditioned or delayed).
