Contacts with Suppliers and Customers. Prior to the Closing, Seller and Buyer agree to cooperate to prepare a communications plan for business partners of the Engenio Business, and in contacting any suppliers to, or customers of, the Engenio Business in connection with or pertaining to any subject matter of this Agreement or the Collateral Agreements and to facilitate the transition of the Engenio Business, including the preparation of letters to all customers, suppliers, distributors and other business partners of the Engenio Business to notify them of the Closing and provide information regarding the transition of the Engenio Business to Buyer. The Seller will be responsible for contacting parties to any Contracts for which consent is required in connection with their assignment pursuant to this Agreement. Notwithstanding anything to the contrary contained herein, this Agreement shall not affect Seller’s continuing right to contact customers and suppliers in connection with the operation or conduct of the Engenio Business nor Buyer’s continuing right to contact customers and suppliers in connection with the operation or conduct of its business.
Contacts with Suppliers and Customers. From the date hereof until the Closing, without the prior consent of Seller, Buyer shall not contact any suppliers to, or customers of, the Business in connection with or pertaining to any subject matter of this Agreement or the Transaction Documents. In contemplation of the Closing, Seller and Buyer agree to cooperate in contacting any suppliers to, or customers of, the Business in connection with or pertaining to any subject matter of this Agreement or the Transaction Documents, as and to the extent requested by Buyer or Seller.
Contacts with Suppliers and Customers. In contemplation of the Closing, Seller Parties shall permit the Buyer Parties to discuss and meet, and shall reasonably cooperate in such discussions and meetings, with any customer or supplier of the Business that the Buyer Parties so request. A representative of Seller Parties shall have the right, but not the obligation, to accompany the Buyer Parties’ representative to such meetings and shall participate with the Buyer Parties’ representative in any such discussions. In addition, Seller Parties and the Buyer Parties will prepare a communications plan for business partners of the Business, and agree on a plan to contact any suppliers to, or customers of, the Business in connection with or pertaining to any subject matter of this Agreement, any Assumed Contracts or the Related Agreements and to facilitate the transition of the Business, including the preparation of letters to all customers, suppliers, distributors and other business partners of the to notify them of the Closing and provide information regarding the transition of the Business to the Buyer Parties. Seller Parties will be responsible for contacting parties to any Assumed Contracts for which consent is required in connection with their assignment pursuant to this Agreement. Notwithstanding anything to the contrary contained herein, this Agreement shall not affect Seller Parties’ continuing right to contact customers and suppliers in connection with the operation or conduct of the Business nor the Buyer Parties’ continuing right to contact customers and suppliers in connection with the operation or conduct of its business.
Contacts with Suppliers and Customers. With the prior consent of Seller, which consent shall not be unreasonably withheld or delayed, Buyer and its representatives shall have the right to contact key suppliers and distributors and technology partners of the Business.
Contacts with Suppliers and Customers. In contemplation of the Closing, Seller and Buyer agree to cooperate in contacting any suppliers to, or customers of, the Wireline Communications Business in connection with or pertaining to any subject matter of this Agreement or the Collateral Agreements. Prior to Closing, Buyer shall contact any suppliers or customers of the Wireline Communications Business in connection with or pertaining to any subject matter of this Agreement or the Collateral Agreements only in cooperation with Seller. Prior to the Closing, without the prior consent of Seller, Buyer shall not contact any suppliers to, or customers of, the Optoelectronics Business in connection with or pertaining to any subject matter of this Agreement or the Collateral Agreements. Contacts with Suppliers and Customers. Notwithstanding anything to the ------------------------------------- contrary contained herein, prior to the Closing, (i) without the prior written consent of Sellers, which may be withheld for any reason, Purchaser shall not contact any customers of the Business, and (ii) Purchaser shall not contact any suppliers to the Business without the prior written consent of Sellers, which consent shall not be unreasonably withheld or delayed.
Contacts with Suppliers and Customers. Prior to the Closing Date, Buyer may with the Seller's prior written consent, which consent shall not be unreasonably withheld, contact suppliers to, or customers of, the Business regarding the Purchased Assets.
Contacts with Suppliers and Customers. Notwithstanding anything to the contrary contained herein, prior to the Closing, without the prior written consent of IMPATH, which may be withheld for any reason, Purchaser shall not contact any suppliers to, or customers of, the Business other than suppliers to or customers of the Business that have been, are or potentially may be a supplier to or a customer of Purchaser or any Affiliate of Purchaser.

Notwithstanding anything to the contrary contained herein, prior to the Closing, without the prior written consent of Sellers, which shall not be unreasonably withheld or delayed, Purchaser shall not contact any suppliers to, or customers of, the Business; provided, however, notwithstanding the foregoing and for the avoidance of doubt and clarification, the foregoing shall not prohibit, restrict or limit Purchaser or any of its Affiliates from contacting any suppliers or customers of the Business in connection with the conduct of their business in the ordinary course, or any other transaction or matter which are not related to the transactions contemplated under this Agreement.
