Common use of Content Protection System Clause in Contracts

Content Protection System. All content delivered to, output from or stored on a device must be protected by a content protection system that includes digital rights management, conditional access systems and digital output protection (such system, the “Content Protection System” or “CPS”). The Content Protection System shall (i) be approved in writing by Licensor, (ii) be fully compliant with all the compliance and robustness rules associated therewith, and (iii) use only those rights settings, if applicable, that are approved in writing by Licensor. Upgrades and/or new versions of approved CPSs shall be considered approved by Licensor if those upgrades or new versions do not a have material adverse effect on security and such changes do not change the usage model of Licensee’s implementation using the CPS. Licensor approves Licensee’s Conditional Access currently known as NDS Videoguard, as represented by Licensee to Licensor as of the date hereof, for use by Licensor in accordance with (ii) and (iii) above.
