Common use of Continuation of Charter Obligations Clause in Contracts

Continuation of Charter Obligations. The Company shall and from and after the Effective Time, Parent and the Surviving Corporation shall, maintain the right to indemnification and exculpation of officers and directors provided for in the Certificate of Incorporation and By-Laws of the Company as in effect on the date hereof, with respect to indemnification and exculpation for acts and omissions occurring prior to the Effective Time, including, without limitation, the Transactions.
