Common use of Continuation of the Company Clause in Contracts

Continuation of the Company. The Company was formed as a Delaware limited liability company on December 21, 2016 by the filing of the Delaware Certificate in the office of the Secretary of State of the State of Delaware pursuant to the Delaware Act. The Members desire to continue the Company for the purposes and upon the terms and conditions set forth herein. As of the Effective Date, the GSO Investor and the Xxxxxxx Investor constitute the sole Members of the Company. Except as provided herein, the rights, duties and liabilities of each Member will be as provided in the Delaware Act.

Continuation of the Company. The Company was formed organized as a Delaware limited liability company on December 21February 23, 2016 by the filing of the Delaware Certificate in the office of the Delaware Secretary of State of the State of Delaware pursuant to the Delaware Act. The Members Unitholders desire to continue the Company for the purposes and upon the terms and conditions set forth herein. As of the Effective Date, the GSO Investor ECP Funds and Dynegy constitute all of the Xxxxxxx Investor constitute the sole Members Unitholders of the Company. Except as provided herein, the rights, duties and liabilities of each Member Unitholder will be as provided in the Delaware Act.

Continuation of the Company. The Company was formed organized as a Delaware limited liability company on December 21February 19, 2016 2008 by the filing of the Delaware Certificate in the office of the Delaware Secretary of State of the State of Delaware pursuant to the Delaware Act. The Members desire to continue the Company for the purposes and upon the terms and conditions set forth herein. As of the Effective Date, ADA-ES, ECP I, ECP I-A, ECP I-B and ECP Crowfoot are admitted to the GSO Investor Company and the Xxxxxxx Investor constitute the its sole Members of the CompanyMembers. Except as provided herein, the rights, duties and liabilities of each Member will be as provided in the Delaware Act.

Except as provided hereinin this Agreement, the rights, duties and liabilities of each Member will shall be as provided in the Delaware Act.
