Continuation of Services. The Contractor shall work with the current Subcontractor prior to cancellation date to ensure all consumer needs are identified and appropriate placements and transportation needs, as applicable, have been arranged. The Subcontractor shall maintain communication with the Contractor on the process of transferring consumers until all consumers are placed.
Continuation of Services. This Option Agreement shall not be construed to confer upon the Optionee any right to continue providing services as a Company Director and shall not limit the right of the Company, in its sole discretion, to terminate the services of the Optionee at any time.
Continuation of Services. A. A beneficiary receiving specialty mental health services shall have a right to file for continuation of specialty mental health services pending the outcome of a fair hearing. (Cal. Code Regs., tit. 22., § 51014.2; Cal. Code Regs., tit. 9, § 1850.215.)
B. The Contractor shall continue the beneficiary’s benefits while an appeal is in process if all of the following occur:
1) The beneficiary files the request for an appeal within 60 calendar days following the date on the adverse benefit determination notice; (42 C.F.R. § 438.420(b)(1).)
2) The appeal involves the termination, suspension, or reduction of a previously authorized service; (42 C.F.R. § 438.420(b)(2).)
3) The beneficiary’s services were ordered by an authorized provider; (42 C.F.R. § 438.420(b)(3).)
4) The period covered by the original authorization has not expired; and, (42 C.F.R. § 438.420(b)(4).)
5) The request for continuation of benefits is filed on or before the later of the following: (42 C.F.R. § 438.420 (b)(5).)
a. Within 10 calendar days of the Contractor sending the notice of adverse benefit determination; (42 C.F.R. § 438.420(a).) or b. The intended effective date of the adverse benefit determination. (42 C.F.R. § 438.420(a).)
C. If, at the beneficiary’s request, the Contractor continues the beneficiary’s benefits while the appeal or state fair hearing is pending, the benefits must be continued until the beneficiary withdraws the appeal or request for state fair hearing, the beneficiary does not request a state fair hearing and continuation of benefits within 10 calendar days from the date the Contractor sends the notice of an adverse appeal resolution, or a state fair hearing decision adverse to the beneficiary is issued. (42 C.F.R. § 438.420(c)(1)-(3); 42 C.F.R. § 438.408(d)(2).)
D. The Contractor may recover the cost of continued services furnished to the beneficiary while the appeal or state fair hearing was pending if the final resolution of the appeal or state fair hearing upholds the Contractor’s adverse benefit determination. (42 C.F.R. § 438.420(d); 42 C.F.R. § 431.230(b).)
E. The Contractor shall authorize or provide the disputed services promptly, and as expeditiously as the beneficiary's health condition requires, but no later than 72 hours from the date the Contractor receives notice reversing the determination if the services were not furnished while the appeal was pending and if the Contractor or state fair hearing officer reverses a decision to deny, limit, or del...
Continuation of Services. Your subscription to Services will automatically continue unless and until you cancel your Services or we disconnect your Services, in each case as provided in this Agreement or in your applicable Promotion Agreement(s).
Continuation of Services. Except as otherwise expressly provided herein, each of the Parties will perform all of its respective obligations under this Agreement notwithstanding the existence of any dispute that arises from time to time between the Parties for any matter related to this Agreement or during the resolution of any dispute in accordance with this Article 17 except where to do so would threaten public health and safety or the environment.
Continuation of Services. Despite the existence of a dispute or difference between the parties the Consultant must: continue to carry out the Services; and otherwise comply with its obligations under the Contract.

Continuation of Services. Unless RMSS initiates an action for Licensee's failure to make timely and complete payment of undisputed amounts claimed due to RMSS, RMSS will continue to provide Maintenance under the Maintenance services agreement, and unless Licensee is unable to lawfully use the RMSS Software and Modifications thereto, Licensee will continue to make payments of undisputed amounts to RMSS, in accordance with this Agreement, notwithstanding a dispute between the parties relating hereto or otherwise.
Continuation of Services. If the Contractor has been unable to successfully transition all participants to applicable programs or agencies by the time specified in the approved transition plan, the Contractor shall continue operating as an ICA or FEA under this contract until all participants are successfully transitioned. The Department will determine when all participants have been successfully transitioned to applicable programs or agencies. If the Department determines it necessary to do so, the Contractor will agree to extend this contract, in order to continue providing services to participants until they are successfully transitioned to applicable programs. During this period the Contractor remains responsible, and shall provide, the services identified within this contract, and all terms and conditions of the contract will apply during this period.
